These terms and conditions explain your rights and obligations when using the Willows Dental Website.

All the reviews on this site are the personal opinions of individual contributors and not those of Willows Dental. Different people often have vastly different expectations and opinions. Just because one person loves or hates a particular product or service does not mean everyone will.

5.7. If you access other sites using the links provided, we cannot be responsible for the content of those sites or for the way in which they deal with you or use any information they may acquire about you.

6. Your liability

You shall compensate us in full if we incur any losses or if any claims or legal proceedings are brought or threatened against us by any other person arising from your use of the Website.

7. Governing law and jurisdiction

These terms and conditions shall be governed by, and construed in accordance with the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, which may arise out of, under, or in connection with these terms and conditions and for those purposes irrevocably submit all disputes to the jurisdiction of the courts of England and Wales.

8. Matters beyond reasonable control

Neither party is liable for any breach of this Agreement that is caused by a matter beyond its reasonable control, including acts of God, fire, lightning, explosion, war, flood, industrial disputes, sabotage, extremely severe weather, or acts of local or central Government or other competent authorities.

9. Your personal information

We will collect personal information in connection with the service we provide. Our Privacy Policy has details on what information we collect, what we do with that information, and other related matters such as cookies.

10. Acceptable use

10.1. You must not publish, post, distribute, disseminate, or otherwise transmit anything that: offends common standards of courtesy or decency; is defamatory, obscene, objectionable; or is unlawful, offensive; any use which is intended to disrupt or vandalise the service.

10.2. Advertising, chain messages, spam, and press releases are prohibited on the Website.

10.3. You must not use the Website to infringe the rights of any third party, including, but not limited to, any patent or trademark or trade secret, or to break any copyright restrictions on anything said or repeated on the Website.

10.4. You must not use the Website to: access and/or use confidential information; or attempt to impersonate any other person.

11.1. You shall not assign or otherwise transfer this Agreement to any other person without obtaining our prior written consent.

11.2. We reserve the right to assign all or part of this Agreement at any time to any company or person.

12. Default

12.1. If you do any of the following, we may terminate this Agreement immediately;

  • do not pay the charges within 28 days of them becoming due;
  • breach this Agreement in any other way;
  • become the subject of bankruptcy or insolvency proceedings;
  • enter into an IVA, BRO or become the subject of winding up proceedings.

12.2. If the Agreement is terminated under this clause, you will still be liable for all charges that you owe us up to the date of termination.

13. Viruses, hacking and other offences

13.1 You agree not to engage in any misuse of the Website by knowingly introducing viruses, Trojans, worms, logic bombs, scripting or other material which is disruptive, malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of-service attack.

13.2 You agree not to post links to or otherwise advertise any websites, services or download areas which are specifically designed for circulating information or utilities or any other activity considered offensive, objectionable or illegal. You agree not to post links aggressive or otherwise to other websites which attempt to redirect, hijack, phish or install viruses, Trojans, worms, logic bombs or other material which is disruptive, malicious or technologically harmful.

13.3 By breaching these provisions, you would be committing a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

13.4 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or to your downloading of any material posted on it, or on any website linked to it.

14. User identities and passwords

14.1 You are responsible for maintaining the confidentiality of your user identity and password and for restricting access to your computer to prevent unauthorised access to your account. You agree to accept responsibility for all activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform us immediately if you have reason to believe that your password has become known to anyone else, or if the password is likely to be used in an unauthorised manner.

14.2 Please ensure that the details provided to us are accurate, correct and up-to-date. Do inform us immediately of any changes to the information that you provided when registering.

14.3 We reserve the right to refuse access to the Website, and to terminate accounts, remove or edit content or cancel orders at our discretion. If we cancel an order it will be without charge to you unless, due to your negligence, you have allowed unauthorised use of your username and password.

15. Linking to the Website

15.1 You must not create links to any part of the Website without our prior permission. If you wish to request such permission please contact us. Linked websites, whether permitted or not, do not have implied affiliation with the Website.

15.2 If we grant you permission to create links to any part of the Website, the website from which you are linking must comply in all respects with the content standards set out in clause 10 of these terms and conditions.

16. Payment Terms

16.1 All transactions are in Pounds Sterling.

16.2 Payment should be made without discount, compensation or delay and in any event within 28 days of the invoice date, unless agreed otherwise in writing. Products and Services and the rights to them, remain the property of Willows Dental until payment has been made.

16.3 As consideration for us providing our Products and Services to you, we reserve the right to request and charge our fees to your credit/debit card, prior to providing our Products and Services at the amounts set forth in our advertised price schedule, as amended from time to time, both for any Products and Services and/or any subsequent fees that may be required to fulfil our on-going duty in maintaining Your Products and Services.

16.4 In the event of a chargeback by a credit card company or other payment provider authorised by us or returned cheque, we reserve the right to regain ownership and full title of any Products and Services provided by us. We may reinstate such Products and Services at our sole discretion and at the current reinstatement fee of £30.

17. Returns Policy

If you are unhappy with any item, you may return it within 30 days, in its original condition, at your expense, for a refund of the retail price. Please contact us first, as no returns will be accepted without prior arrangement. The postal charges are not refundable. Your rights to return goods are protected under the EU Distance Selling Directive which can be found at http://www.hmso.gov.uk/si/si2000/20002334.htm

18. Notices

Notices to you may be made via either email or regular mail. Willows Dental may also provide notices of changes to these terms and conditions and Privacy Policy or the Website by displaying notices or links to notices to you generally on the Website.

19. General

19.1 You agree that if Willows Dental does not exercise or enforce any legal right or remedy which is contained in these terms (or which Willows Dental has the benefit of under any applicable law), this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to Willows Dental.

19.2 If any of these terms are determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction in which that term is illegal, invalid or unenforceable, it shall be severed and deleted from these terms and the remaining terms shall survive, remain in full force and effect and continue to binding and enforceable.

19.3 Any right not expressly granted herein are reserved.
